INVESTMENT CRITERIA
We target companies positioned to grow their equity value through strategic initiatives that can be facilitated in part through an infusion of capital. While we are open to entertaining a broader set of opportunities, the Corporate Partners Fund focuses on investment opportunities with the following criteria:

| Fully-Diluted Ownership: | Less than 51% |
| Investment Horizon: | Up to 7 years |
| Location: | Significant North American presence |
| Board Representation: | If Appropriate |
| Current Income/Interest/Dividends: | As the situation merits. Not a requirement. |
| Corporate Structure: | Public or Private |
| Use of Proceeds: | Principally to finance growth initiatives |
| Stage of Development: | Established companies, preference for businesses with EBITDA of at least $8 million |
